We are seeking for a Legal & Compliance Counsel to support our business by managing legal risks, ensuring regulatory compliance, and providing strategic legal guidance across the organization.
You will be responsible for:
Draft, review, negotiate, and manage commercial agreements, including SaaS Agreements, Software License Agreements, Master Service Agreements (MSA), Statements of Work (SOW), NDAs, partnership agreements, vendor agreements, and other corporate legal documents.
Provide legal advice and support to internal stakeholders across Sales, Product, Delivery, Procurement, Human Capital, Finance, and Management functions.
Execute and maintain all required corporate filings, licenses, permits, statutory records, and legal documentation in accordance with applicable laws and regulations.
Develop, implement, and monitor legal compliance programs, internal policies, and governance practices to ensure regulatory compliance.
Support the implementation of Personal Data Protection Law (UU PDP), including reviewing data processing agreements and privacy-related contractual requirements.
Review customer and vendor contractual requirements related to confidentiality, information security, and data protection obligations.
Assist in managing intellectual property matters, including software licensing, trademarks, copyrights, and open-source software compliance.
Liaise with notaries, external legal counsel, regulators, government authorities, and other relevant parties regarding corporate and legal matters.
Support legal due diligence, investments, financing activities, corporate actions, and strategic business initiatives.
Educate and train employees on legal, compliance, and regulatory requirements while promoting a culture of compliance across the organization.
Requirements:
Bachelor's Degree (S1) in Law.
Minimum 1–3 years of experience in a corporate legal department, legal counsel role, or reputable law firm.
Experience supporting software, SaaS, technology, fintech, or digital businesses is highly preferred.
Strong understanding of Indonesian contract law, company law, employment law, intellectual property, corporate governance, Electronic Information and Transactions Law (ITE), and Personal Data Protection Law (UU PDP).
Experience in drafting, reviewing, and negotiating commercial technology contracts is an advantage.
Excellent legal drafting and communication skills in both Bahasa Indonesia and English.
Strong analytical thinking, legal research, problem-solving, and stakeholder management skills.
High integrity, attention to detail, sound judgment, and ability to handle confidential information.
Good organizational, prioritization, and time-management skills with the ability to manage multiple matters simultaneously.
Able to work independently while collaborating effectively with cross-functional teams.
